4. SELLER AGREEMENT WITH TOWNWAY

By registering as a seller and accepting these Terms electronically, the seller agrees to these Terms together with any seller-specific commercial terms, policies, fee schedules or agreements accepted through TOWNWAY.

A seller operates as an independent business.

Nothing in these Terms creates an employer-employee relationship, partnership, franchise, joint venture or agency relationship between TOWNWAY and a seller unless specifically agreed in writing.

The seller remains responsible for its business, products and compliance obligations.

5. SELLER ACCOUNT AND SECURITY

The seller is responsible for maintaining the security and confidentiality of its seller account, password, OTP, devices and other account credentials.

The seller must ensure that persons accessing the seller account are properly authorized.

The seller must immediately notify TOWNWAY if it suspects:

  • Unauthorized account access

  • Credential theft

  • Fraudulent activity

  • Unauthorized orders

  • Unauthorized changes to bank or business information

Activities carried out through a seller account may be treated as authorized activities unless TOWNWAY has been notified of unauthorized access.

Where reasonably required, TOWNWAY may request documents establishing product authenticity or authorization.

Repeated authenticity complaints may result in restriction or suspension of the seller account.

11. PRICING

Sellers are responsible for maintaining accurate product prices.

Prices must comply with applicable pricing, taxation and consumer-protection requirements.

Where applicable, the customer must be informed of compulsory charges before completing a purchase.

A seller must not intentionally display an artificially low or misleading price and subsequently require the customer to pay undisclosed charges outside TOWNWAY.

TOWNWAY may restrict listings containing obvious pricing errors.

12. OFFERS AND PROMOTIONS

Where sellers participate in TOWNWAY promotions, discount programs, coupons or campaigns, the applicable promotional conditions will apply.

Sellers must ensure that promotional prices and claims are genuine and accurately represented.

TOWNWAY may discontinue or correct a promotion affected by technical errors, fraud, incorrect pricing or misuse.

13. INVENTORY AND PRODUCT AVAILABILITY

Sellers are responsible for maintaining reasonably accurate inventory information.

Products shown as available should ordinarily be capable of being fulfilled.

A seller should update stock promptly when a product becomes unavailable.

Repeated cancellations caused by inaccurate stock information may result in listing restrictions or other account measures.

14. SERVICEABLE AREAS

Where TOWNWAY provides sellers with controls for choosing serviceable areas, states, locations or PIN codes, sellers are responsible for maintaining those settings accurately.

Product visibility does not necessarily mean that delivery or ordering is available to every customer location.

TOWNWAY may prevent checkout where a seller or delivery service does not support the customer's delivery location.

  • Technical errors

  • Other legitimate fulfilment issues

TOWNWAY may review repeated or excessive seller cancellations.

Appropriate account measures may be applied where repeated seller cancellations materially affect customers or marketplace operations.

17. PACKAGING

Sellers must use packaging reasonably suitable for protecting products during handling and transportation.

Packaging should comply with applicable legal, safety and product-specific requirements.

Where required, fragile, liquid, food, electrical or other sensitive products should receive suitable protective packaging.

  • Coordinated by TOWNWAY

  • Fulfilled through TOWNWAY delivery services

  • Fulfilled through approved third-party logistics providers

Sellers must cooperate with applicable pickup and delivery requirements.

TOWNWAY does not guarantee that a specific logistics provider will always be available.

Amounts will be released or adjusted after the relevant matter is resolved, subject to applicable law and payment-provider timelines.

23. TAXES AND INVOICES

Sellers are responsible for their own tax obligations arising from sales through TOWNWAY.

Where GST or other taxes apply, the seller is responsible for providing the required tax information and complying with applicable invoicing requirements.

TOWNWAY may make deductions or collect amounts where required by applicable tax laws.

Seller, tax and product information appearing on invoices must be accurate.

Where the seller or manufacturer provides a warranty, the seller must accurately communicate the applicable warranty terms.

A seller must not advertise a warranty that does not exist.

Manufacturer warranties remain subject to the manufacturer's applicable conditions.

Ownership of the seller's underlying intellectual property remains with the seller or applicable rights holder.

32. THIRD-PARTY INTELLECTUAL PROPERTY

Sellers must respect copyrights, trademarks, patents, designs and other intellectual-property rights belonging to third parties.

TOWNWAY may remove content or products where a legitimate intellectual-property complaint is received.

Repeated infringement may result in seller restrictions or account termination.

33. SELLER GRIEVANCE RESPONSIBILITIES

Where required under applicable law, a seller must maintain appropriate customer-grievance arrangements and provide TOWNWAY with relevant grievance contact details.
